Where we add value

The first draft of a cross-border agreement is often written in the legal style of one jurisdiction and then translated. That rarely works. We advise on commercial structure before legal drafting: pricing mechanisms, volume commitments, exclusivity scope, IP ownership, escalation procedures, force majeure definitions, and dispute resolution forum. Once commercial terms are clear, legal execution is fast.

Deal types

Distribution and supply agreements for goods moving in either direction. Joint venture structures for manufacturing, services, or retail operations. Investment term sheets and shareholder agreements for PE/VC mandates. Licensing and technology-transfer agreements, especially relevant for pharma, machinery, and industrial IP.
